Terms and Conditions of Sale

All business activities, agreements, orders, contracts, services, or transactions carried out by Bankswood Infrastructure Group Ltd and its subsidiaries are governed by the following Terms and Conditions. Customer acceptance of a purchase order, agreement, contract, service, or transaction implies acceptance of these Terms and Conditions.

1. Application

These Terms apply to all sales of goods and services by Bankswood Infrastructure Group Ltd (“the Seller”) to any purchaser (“the Buyer”). They override any terms or conditions the Buyer seeks to impose unless expressly agreed in writing.

2. Quotations & Orders

  • Quotations are not binding offers and may be amended or withdrawn before acceptance.

  • Buyer orders are treated as offers to purchase, subject to these Terms.

3. Prices

  • Prices are those current at the time of despatch unless otherwise agreed.

  • VAT and other applicable taxes will be added.

  • Prices may be revised if material costs or exchange rates change before despatch.

4. Payment

  • Unless agreed otherwise, invoices are payable by the last day of the month following the invoice date.

  • Interest may be charged on overdue accounts at 2% above NatWest base rate.

  • Credit terms may be withdrawn at any time.

5. Delivery & Risk

  • Delivery dates are approximate and not guaranteed.

  • Unless otherwise agreed, delivery is ex-works.

  • Risk passes to the Buyer upon delivery.

  • If the Buyer fails to take delivery, the Seller may invoice in full and recover storage costs.

6. Title

  • Title remains with the Seller until full payment has been received.

  • Until then, the Buyer must keep goods identifiable, insured, and in good condition.

  • The Seller reserves the right to repossess goods if payment is not made.

7. Warranty & Liability

  • Goods are warranted to meet specification at delivery and be free from defects within applicable warranty periods.

  • The Seller’s liability is limited to repair, replacement, or refund of goods supplied.

  • The Seller is not liable for indirect or consequential loss.

  • Nothing in these Terms excludes liability for death or personal injury caused by negligence.

8. Force Majeure

The Seller is not liable for delay or failure due to events beyond reasonable control, including but not limited to strikes, transport issues, breakdowns, or severe weather.

9. Insolvency

If the Buyer becomes insolvent, bankrupt, or ceases trading, the Seller may suspend deliveries, cancel contracts, and demand immediate payment.

10. Governing Law

These Terms are governed by the laws of England and Wales. Both parties submit to the jurisdiction of the English courts.
